TERMS OF USE FOR METROPOLIS
Last updated: October 21, 2026
These Terms of Use ("Terms") govern access to and use of the website available at metropolis.exchange and any related subdomains (collectively, the "Website"), including the decentralized exchange interface, analytics, vault, staking, bridge and other functionality made available through the Website (together with the Website, the "Service").
Blue DAO LLC, a limited liability company organized under the laws of the Republic of the Marshall Islands, operates the Service under the name "Metropolis". In these Terms, "Metropolis", "we", "us" and "our" refer to that company.
Please read these Terms carefully. By accessing or using the Website or the Service, or by connecting a Wallet, you acknowledge that you have read, understood and agreed to these Terms. If you do not agree to these Terms, you must not access or use the Website or the Service.
1. WHAT METROPOLIS IS
1.1
Metropolis is a web interface to the Metropolis decentralized exchange on the Sonic network. The exchange runs the Liquidity Book concentrated-liquidity design (version 2.2) alongside legacy constant-product (V2) pools. Through the Service, Users can:
(a) view read-only information such as pools, prices, charts, transactions, positions, vaults, fees and profit-and-loss estimates, including for any public Wallet Address entered into the Service, without connecting a Wallet;
(b) swap Crypto Assets, either through Metropolis pools or through routes quoted by the DE1 aggregator;
(c) create pools, provide and withdraw liquidity, shape liquidity across price bins, and claim fees and farm rewards;
(d) deposit into and withdraw from automated liquidity vaults, and create and operate such vaults as a curator;
(e) stake and lock the METRO token and claim staking rewards;
(f) bridge Crypto Assets from other networks to Sonic through a third-party bridge widget provided by LI.FI; and
(g) perform other blockchain-based activities made available through the Service from time to time.
1.2
The Service is non-custodial. It:
(a) does not take custody, possession or control of a User's Crypto Assets, which remain in the User's Wallet or in the relevant smart contracts at all times;
(b) does not access, request or store any private key, seed phrase or other Wallet-access credential;
(c) does not sign, execute or independently authorize any transaction on a User's behalf; and
(d) is not the buyer, seller, counterparty, broker, dealer, market maker, custodian or intermediary in respect of any transaction.
1.3
Every transaction must be independently reviewed, authorized and signed by the User through the User's own Wallet. Transactions are then executed and settled by the relevant smart contracts and Blockchain, not by Metropolis. A User's liquidity, vault shares and unlocked stake can be managed directly through the relevant smart contracts, including through a block explorer, independently of the Website.
1.4
The Metropolis smart contracts are based on the Liquidity Book design created by LFJ. Except as expressly stated, the Service is not operated by, endorsed by, sponsored by or affiliated with LFJ, Sonic Labs, DE1, OpenOcean, LI.FI, any vault curator, or any token issuer whose assets are viewable or tradable through the Service. Names and marks of third parties are used for identification only.
1.5
The Service is only one means of interacting with the underlying smart contracts. Users may interact with those smart contracts directly or through other interfaces, wallets or tools. Any restriction implemented through the Website applies only to the Website and does not restrict access to the underlying smart contracts.
2. DEFINITIONS
2.1
"Blockchain" means the Sonic network and, solely for the purpose of bridging to Sonic, any source network supported by the bridge widget from time to time.
2.2
"Crypto Asset" means a digital asset, token, coin, liquidity position, vault share, staking position, NFT or other blockchain-based unit of value, including the METRO token.
2.3
"Curator" means the operator of a Vault, being the Wallet that created the Vault or to which its operation has been assigned.
2.4
"METRO" means the METRO token on the Sonic network.
2.5
"Service" means the Website, the Metropolis application and all related analytics, vault, staking, bridge, content and functionality made available through the Website.
2.6
"Third-Party Service" means any product, protocol, website, API, aggregator, bridge, oracle, node, indexer, RPC provider, data provider, Wallet, application, smart contract or service provided by a person other than Metropolis, including the DE1 aggregator and the OpenOcean contracts it routes through, LI.FI and the bridges and exchanges it uses, the Sonic network, Curators, third-party token issuers, and the data and routing infrastructure on which the Service relies.
2.7
"User" or "you" means any natural person or legal entity accessing or using the Website or the Service.
2.8
"Vault" means an automated liquidity vault deployed through the Metropolis vault factory on a Liquidity Book pool.
2.9
"Wallet" means non-custodial software, hardware or another system that allows a User to manage private keys and authorize blockchain transactions.
2.10
"Wallet Address" means a public blockchain address entered into, connected to, viewed through or otherwise processed by the Service.
3. ELIGIBILITY AND RESTRICTED USERS
3.1
By accessing or using the Service, you represent and warrant that:
(a) you have the legal capacity to enter into a binding agreement;
(b) you are at least eighteen years old or have otherwise reached the age of legal majority in your jurisdiction;
(c) where you act on behalf of a legal entity, you have authority to bind that entity to these Terms; and
(d) your access to and use of the Service complies with all laws and regulations applicable to you.
3.2
The Service is not offered or directed to, and may not be accessed or used by, any person who is a citizen or resident of, located in, or organized under the laws of the United States of America, any member state of the European Union or the European Economic Area, or Switzerland (each a "Restricted Jurisdiction"). By accessing or using the Service, you represent and warrant that you are not a citizen or resident of, located in, or organized under the laws of a Restricted Jurisdiction, and that you are not accessing the Service on behalf of any such person.
3.3
The Service is not offered to, and may not be accessed or used by, any person who is subject to applicable economic or trade sanctions, who is owned or controlled by or acting on behalf of a sanctioned person, or for whom access to or use of the Service would violate applicable law in their jurisdiction.
3.4
Each User is solely responsible for determining whether the User may lawfully access and use the Service, and lawfully acquire, hold, swap, provide liquidity for, deposit into a Vault, stake, bridge or otherwise interact with any Crypto Asset, in the User's jurisdiction. The technical availability of the Service in any jurisdiction does not constitute an offer or solicitation there, nor confirmation that use of the Service, or of any Crypto Asset, is permitted there.
3.5
A User must not use a virtual private network, proxy, false information or other technical means to circumvent, or attempt to circumvent, any eligibility requirement, geographic restriction, Restricted-Jurisdiction limitation or other access restriction imposed by Metropolis, applicable law, a Third-Party Service, a token issuer or a smart contract. Any access obtained through such circumvention is unauthorized, and the User bears sole responsibility for the consequences, including under Section 16 (Indemnification).
4. WALLET ADDRESSES AND PUBLIC DATA
4.1
The Service lets a User enter any public Wallet Address in order to view positions, vault holdings and profit-and-loss estimates associated with it, and to keep such addresses on a watchlist stored in the User's browser. Pool pages display the open positions in that pool, including the holding Wallet Addresses, ranked by profit-and-loss. Information derived from public blockchain data is not confidential, and a User has no expectation that a Wallet Address entered into, or surfaced by, the Service will remain private.
4.2
By entering a Wallet Address, the User represents that doing so does not violate any law or any right of a third party. The User must not use the Service to harass, stalk, deanonymize, target or otherwise harm any person.
4.3
We may, at our discretion and without any obligation to do so, exclude a Wallet Address from public features such as position rankings, but we are not required to monitor, verify or remove any address or data. Requests for exclusion may be made through the channels in Section 21.4.
4.4
Profit-and-loss figures, rankings, annual percentage rates, fee rates and vault performance figures are estimates provided by the Metropolis data APIs and are informational only. Past performance is not indicative of future results and is not a recommendation.
5. USER WALLETS AND TRANSACTIONS
5.1
To transact, the User must connect a compatible non-custodial Wallet. Metropolis does not provide a Wallet and does not have access to Wallet-access credentials. The User is solely responsible for the security of the User's Wallet, device and credentials, for verifying token and contract addresses, for managing token approvals, and for reviewing all transaction details, including amounts, tokens, routes, bins, slippage and fees, before signing.
5.2
The User is responsible for all transactions authorized through the User's Wallet, whether or not the User personally intended or fully understood them. Metropolis is not responsible for unauthorized transactions or losses resulting from compromised credentials, malware, phishing, malicious browser extensions, fraudulent websites, compromised devices, or the acts or omissions of a Wallet provider.
5.3
Once submitted to a Blockchain, a transaction cannot be cancelled, modified, reversed or recovered by Metropolis. Metropolis cannot recover Crypto Assets sent to an incorrect address, through an incorrect network, to an incompatible or malicious smart contract, using incorrect parameters, or as a result of compromised credentials.
5.4
Quotes, prices, routes, estimated outputs, annual percentage rates and other values displayed through the Service may be estimates, may rely on Third-Party Services, may change before a transaction is confirmed and may differ from the final on-chain result. Metropolis does not guarantee best execution, the best price, the lowest fees or the lowest slippage available through any other venue. The User must set an appropriate maximum slippage and review all details before signing.
6. LIQUIDITY PROVISION, POOLS AND FARMS
6.1
Providing liquidity through the Service means depositing Crypto Assets into smart-contract pools. The User acknowledges the risks in Section 13, including impermanent and permanent loss, out-of-range positions that stop earning fees, and the possibility that a position underperforms simply holding the underlying assets.
6.2
Pool creation is permissionless within the parameters allowed by the Metropolis factory contracts. Metropolis does not review, verify, endorse or take responsibility for any token or pool created by any User. Anyone can create a token or a pool, including counterfeit tokens, tokens with malicious or hidden transfer logic, tokens that cannot be sold, and tokens subject to administrative control. The User must independently verify every token and contract address and assess every pool before interacting with it.
6.3
A User who creates a pool or a token, or who provides liquidity, is solely responsible for compliance with applicable law, including any law relating to the offering or distribution of securities, derivatives or other regulated instruments. The User must not use the Service to conduct an unlawful offering, a market-manipulation scheme, or any other unlawful activity.
6.4
Certain pools may have farm reward contracts attached that distribute additional rewards to liquidity in a defined price range. Farm rewards are set and funded by the operator of the relevant reward contract, may change, end or run out at any time, and are not guaranteed.
6.5
The liquidity shape editor, auto-fill swap, zap-out and similar tools are provided as software conveniences. They may produce unexpected results or fail, and the User should start with amounts they can afford to lose.
7. VAULTS AND CURATORS
7.1 Depositing into a Vault
A Vault holds the deposited Crypto Assets of its depositors as liquidity in a single Liquidity Book pool. The Curator, not Metropolis and not the depositor, decides the Vault's price range and when it is rebalanced. A deposit into a Vault means entrusting the strategy of that deposit to the Curator, within the limits enforced by the Vault smart contract. Vault performance depends on the Curator's decisions and on market conditions, and may be negative.
7.2 Curator fees
Each Vault charges an annual fee on assets under management, set in basis points by its Curator when the Vault is created and accrued over time to the Curator. The fee applicable to a Vault is shown on the Vault page. The User is responsible for reviewing it before depositing.
7.3 No vetting of Curators
Any Wallet may create a Vault on a pool whitelisted by the vault factory. Metropolis does not select, vet, supervise, monitor or endorse any Curator, and the display of a Curator name or logo, which is drawn from a third-party list, is not a confirmation of identity, competence or good faith. Curators are not agents, employees or advisers of Metropolis.
7.4 Creating and operating a Vault
Creating a Vault requires payment of a creation fee, in the native Sonic token, set by the vault factory contract and shown before the transaction is signed. A User who creates or operates a Vault acts as its Curator in the User's own name and at the User's own risk, is solely responsible for its strategy and for compliance with all laws applicable to managing liquidity on behalf of others, including any licensing, registration or disclosure requirement, and must not represent that Metropolis manages, guarantees or endorses the Vault.
8. FEES
8.1
Access to and use of the Website for browsing and viewing information are provided free of charge.
8.2
Transactions carried out through the Service may be subject to the following fees:
(a) Pool swap fees — the fee charged by each pool on each swap, which for Liquidity Book pools consists of a base fee and a variable fee and is distributed between liquidity providers and, where set, a protocol share, as defined in the pool contract;
(b) Aggregator fee — swaps routed through the DE1 aggregator are subject to a fee that is shown in the Service as the DE1 fee before the User signs;
(c) Vault fees — the Curator fee described in Section 7.2 and the creation fee described in Section 7.4;
(d) Bridge fees — fees charged by LI.FI and the bridges and exchanges it routes through, as shown in the bridge widget;
(e) Network (gas) fees — paid to the relevant Blockchain; and
(f) any other fees charged by Third-Party Services.
8.3
Fee information displayed through the Service may be estimated and may change before a transaction is confirmed. Fees and fee parameters may be changed by the parties that control the relevant smart contracts or Third-Party Services. The User is responsible for reviewing all applicable fees before authorizing a transaction.
9. METRO TOKEN
9.1
METRO is a token used within the Metropolis ecosystem, including for staking. METRO does not represent any share, equity, debt, deposit, security, ownership interest, or right to profits, dividends, redemption or repayment against Metropolis, Blue DAO LLC or any other person.
9.2
Metropolis does not, through these Terms or the Service, make any offer or solicitation to buy or sell METRO, and nothing in the Service is investment advice or a recommendation regarding METRO or any other Crypto Asset.
9.3
The value of METRO is determined solely by market forces, may be highly volatile, and may fall in part or in full.
10. METRO STAKING
10.1 Nature of staking
Staking is an optional software feature. It does not create any deposit, account, loan, investment, security or managed-investment relationship between the User and Metropolis, and Metropolis does not guarantee any reward, yield, return or rate.
10.2 Lock positions
A User may lock METRO in the staking contract for a period within the minimum and maximum lock durations set by that contract and shown in the Service. Each lock is a separate position represented by an NFT minted to the User's Wallet. Longer locks carry a higher lock multiplier, as set by the contract. A User may add METRO to a position, extend its lock or renew it; renewing restarts the lock for its full duration.
10.3 No early withdrawal
Locked METRO cannot be withdrawn before the lock of the relevant position has ended — not by the User and not by Metropolis. The User should lock only Crypto Assets they are willing to leave locked for the full period. The staking contract includes an emergency-unlock function that only the contract owner can activate. It is not a User control, and the User must plan on the basis that a lock runs for its full term.
10.4 Rewards
Staking rewards are paid in the reward tokens configured in the staking contract, currently USDC and a METRO bonus, pro rata to each position's weight. Rewards depend on the amounts actually distributed to the staking contract, which may vary, be reduced, stop or be zero. Rewards shown as pending are estimates until claimed.
10.5 Compliance and taxes
The User is solely responsible for determining the legal and tax treatment of staking and staking rewards in the User's jurisdiction.
11. BRIDGE
11.1
The bridge feature embeds a widget provided by LI.FI, a Third-Party Service. Bridge quotes, routes and executions are provided by LI.FI and the bridges, exchanges and networks it uses, not by Metropolis. Metropolis does not take custody of bridged assets and cannot track, speed up, reverse or recover a bridge transfer.
11.2
Bridge transfers involve additional risks, including delayed or failed transfers, assets stuck in a bridge contract, exploits of bridge contracts, and the receipt of a wrapped or different representation of an asset. The User's use of the bridge is subject to the terms of LI.FI and of the underlying bridge providers.
12. ACCEPTABLE USE
12.1
The User must use the Service only in accordance with these Terms and applicable law, and must not:
(a) use the Service for money laundering, terrorist financing, sanctions evasion, fraud, theft, market manipulation (including wash trading, spoofing and pump-and-dump schemes) or any other unlawful purpose;
(b) conduct an unlawful offering or distribution of securities, derivatives or other regulated instruments;
(c) use the Service to deanonymize, stalk, target or harm any person;
(d) knowingly exploit any error, vulnerability or malfunction of the Service or of any smart contract to obtain assets to which the User is not legitimately entitled;
(e) compromise, disrupt, overload or interfere with the Service or its infrastructure, or deploy malware or other harmful code;
(f) gain or attempt to gain unauthorized access to any system, account, infrastructure or data;
(g) impersonate Metropolis, or falsely claim affiliation with or endorsement by Metropolis, including as a Curator; or
(h) infringe the intellectual property, privacy or other rights of any person.
12.2
Users may use automated tools such as bots, scripts and indexers, provided such use complies with these Terms and applicable law, does not circumvent any restriction, and does not place an unreasonable load on, disrupt or compromise the Service. Metropolis may impose rate limits or other technical restrictions and may restrict or suspend access where it reasonably believes these Terms have been violated or a legal, security or operational risk exists. Metropolis is not required to monitor any User, Wallet or transaction.
12.3 Anti-money-laundering and sanctions warranties
The User represents, warrants and undertakes that:
(a) the User will not use the Service in any manner, or for any purpose, that is unlawful or that facilitates money laundering, terrorist financing, sanctions evasion or any other act that violates applicable law;
(b) the Crypto Assets the User uses in connection with the Service are not the proceeds of, and no transaction through the Service will facilitate or engage in, any criminal or unlawful activity;
(c) the User is not, and is not acting directly or indirectly on behalf of, a person that is subject to sanctions administered by the United Nations, the Republic of the Marshall Islands or another applicable authority, and is not included on any applicable sanctions list;
(d) the User is acting solely in the User's own economic interest and, where acting for another person, is duly authorized to do so; and
(e) as at the date of first accepting these Terms, no criminal or regulatory investigation is pending against the User in connection with money laundering, terrorist financing, sanctions or comparable matters.
If any of the circumstances in this Section changes, or any warranty ceases to be accurate, the User must immediately stop using the Service. Metropolis may restrict or suspend access, and is not required to restore access, where it reasonably believes any of these warranties is or has become untrue.
13. RISK DISCLOSURE
13.1
Crypto Assets, blockchains, smart contracts and decentralized-finance activities involve substantial risk. The User may lose some or all Crypto Assets used in connection with the Service and should not use the Service with Crypto Assets they cannot afford to lose. Without limitation, the User acknowledges:
(a) Smart-contract risk — the Metropolis smart contracts, including the pair, router, vault, farm and staking contracts, may contain bugs, vulnerabilities or unintended behavior; audits do not guarantee safety;
(b) Market risk and impermanent loss — liquidity positions convert between tokens as prices move and may be worth less than simply holding; out-of-range positions stop earning fees;
(c) Curator risk — Vault outcomes depend on decisions by Curators whom Metropolis does not vet or control;
(d) Token risk — anyone can create tokens, including counterfeit, malicious or non-sellable tokens; the User must verify addresses independently, and issuers of certain tokens, such as stablecoins, may freeze or block them;
(e) METRO and staking risk — METRO is volatile, locked METRO cannot be withdrawn early, and staking rewards are variable and may be zero;
(f) Data risk — prices, profit-and-loss figures, rankings, rates and other information may be delayed, incomplete, inaccurate or manipulated;
(g) Transaction risk — transactions may be irreversible, delayed, front-run, sandwiched, reordered, rejected or executed at a materially different price than expected;
(h) Network risk — the Sonic network and any bridge source network may experience outages, congestion, reorganizations or downtime;
(i) Bridge risk — as described in Section 11; and
(j) Regulatory risk — laws and regulatory treatment of Crypto Assets, decentralized finance, vaults and staking may change and may affect access, legality or value.
14. DISCLAIMERS AND NO ADVICE
14.1
To the maximum extent permitted by law, the Website, the Service and all related content are provided on an "as is" and "as available" basis, without warranties of any kind, express, implied or statutory, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, security and uninterrupted operation.
14.2
Metropolis does not warrant that information provided through the Service is accurate, complete or current, that the Service or any transaction will be available, successful or error-free, or that any figure, ranking, quote, route or rate shown will correspond to a User's actual results. Any reliance on the Service is at the User's own risk.
14.3
Metropolis does not provide investment, financial, legal, tax, accounting or trading advice, and does not act as a broker, dealer, exchange operator (in the regulated sense), custodian, fund manager, adviser or fiduciary. Nothing in the Service is a recommendation or solicitation to acquire, dispose of, provide liquidity for, deposit into a Vault, stake or otherwise deal in any Crypto Asset. All decisions are made solely by the User, at the User's own risk. These Terms do not create any fiduciary, advisory, agency or trust relationship, and to the maximum extent permitted by law Metropolis disclaims any such duty.
15. LIMITATION OF LIABILITY
15.1
To the maximum extent permitted by applicable law, Metropolis and its affiliates, contributors, developers, service providers, officers, managers, employees, agents and representatives will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, opportunity, data, goodwill or Crypto Assets, or for any trading, liquidity-provision, vault or staking losses, in each case arising from or relating to the Website, the Service or these Terms.
15.2
Without limitation, Metropolis will not be liable for losses arising from or relating to: smart-contract errors or exploits; compromised Wallets or credentials; incorrect transactions; the creation of or interaction with any user-created token, pool or Vault; the decisions of any Curator; market volatility, impermanent loss or out-of-range positions; slippage or MEV; the METRO token or staking rewards; the acts, data, routing or bridging of any Third-Party Service (including DE1, OpenOcean, LI.FI and the Sonic network); or the suspension, modification or discontinuation of the Service or any feature.
15.3
To the maximum extent permitted by applicable law, the aggregate liability of Metropolis and all persons covered by Section 15.1 arising from or relating to the Website, the Service or these Terms will not exceed USD 100.
15.4
The limitations in this Section apply regardless of the legal theory on which a claim is based. Nothing in these Terms excludes or limits liability to the extent it cannot lawfully be excluded or limited, including, where applicable, liability for fraud, willful misconduct or gross negligence to the extent such liability cannot be excluded under applicable law.
16. INDEMNIFICATION
16.1
To the maximum extent permitted by law, the User agrees to indemnify, defend and hold harmless Metropolis and its affiliates, contributors, developers, service providers, officers, managers, employees, agents and representatives from claims, liabilities, damages, losses, costs and reasonable legal fees arising from or relating to: the User's access to or use of the Service; the User's transactions and interactions with any Crypto Asset, pool, Vault, token, smart contract or Third-Party Service; the User's creation of any token, pool or Vault, or the User's activity as a Curator; the User's violation of these Terms or of applicable law; the User's violation of third-party rights, including by entering or using another person's Wallet Address; or the User's circumvention or attempted circumvention of any restriction under Section 3.5, including access from a Restricted Jurisdiction.
17. ADMINISTRATIVE FUNCTIONS AND PROTOCOL CHANGES
17.1
Certain Metropolis smart contracts include administrative functions, including the ability to set protocol fee shares and pool presets, to whitelist pools for Vaults, to set the Vault creation fee and default Curator fee, to configure staking lock durations, multipliers and reward tokens, and to activate an emergency unlock on the staking contract. These functions are controlled by the Wallets, multisignature arrangements or other technical arrangements designated in the relevant contracts, and their existence creates additional technical, operational and governance risks. Contract addresses are verifiable on the Sonic block explorer.
17.2
Metropolis may add, remove, disable, modify, suspend or discontinue any pool, token, route, Vault listing, feature or part of the Service at any time, with or without notice, and is not obligated to maintain any feature, support any network or Wallet, or continue any feature.
18. THIRD-PARTY SERVICES
18.1
The Service uses, accesses, links to, displays information from, and routes transactions through Third-Party Services, including the DE1 aggregator, LI.FI, Wallet providers, RPC and data providers, block explorers and the Sonic network. These are controlled by their respective providers and may be governed by separate terms and privacy policies. Metropolis does not control and is not responsible for their availability, accuracy, security, conduct or fees, and their integration, display, linking or use does not constitute an endorsement. The User is responsible for reviewing and accepting any applicable third-party terms.
19. INTELLECTUAL PROPERTY
19.1
The Website and its content, including its branding, logo, the "Metropolis" name, layout, graphics, text and proprietary software, are owned by or licensed to Metropolis, except where otherwise stated. Public on-chain data is not owned by Metropolis, and third-party names and marks (including LFJ, Liquidity Book, Sonic, DE1 and LI.FI) belong to their respective owners and are used for identification only. Certain smart contracts or components may be made available under open-source or source-available licenses, whose terms govern the relevant software.
19.2
Subject to these Terms, Metropolis grants the User a limited, non-exclusive, revocable, non-transferable and non-sublicensable right to access and use the Website for its intended purpose. Except where permitted by applicable law or an applicable license, the User must not copy, modify, reverse engineer, redistribute or create derivative works from the proprietary software, remove proprietary notices, or use Metropolis branding without authorization. This does not restrict lawful access to publicly available on-chain data. Feedback voluntarily submitted to Metropolis may be used without restriction or compensation.
20. SUSPENSION, TERMINATION AND CHANGES
20.1
The User may stop using the Service at any time; where applicable, the User should disconnect their Wallet and manage their own on-chain positions, Vault shares, approvals and locks. Metropolis may restrict, suspend, modify, discontinue or terminate access to all or part of the Service at any time, with or without notice, for security, legal, maintenance, infrastructure or business reasons.
20.2
Termination or discontinuation does not reverse blockchain transactions, close positions, withdraw Crypto Assets or Vault deposits, revoke token approvals, release locked METRO before its term, or affect rights or obligations that arose before termination. Sections relating to public data, Vaults, the METRO token, staking, intellectual property, risk, disclaimers, limitation of liability, indemnification, governing law and these miscellaneous provisions survive termination.
20.3
Metropolis may amend these Terms from time to time. An updated version will be made available through the Website and will identify the date of the latest revision. Non-material amendments, corrections and clarifications take effect when posted; amendments that materially affect Users' rights or obligations take effect seven (7) days after posting, unless an earlier effective date is reasonably required for legal, regulatory, security or operational reasons. Continued use after updated Terms take effect constitutes acceptance; if the User does not agree, the User must stop using the Service.
21. GOVERNING LAW, DISPUTE RESOLUTION AND NOTICES
21.1
These Terms and any non-contractual obligations arising from or relating to them are governed by the laws of the Republic of the Marshall Islands, without regard to conflict-of-law principles.
21.2
To the maximum extent permitted by applicable law, any dispute, claim or proceeding arising from or relating to these Terms or the Service will be subject to the exclusive jurisdiction of the courts of the Republic of the Marshall Islands. Nothing in this Section deprives a person of mandatory rights that cannot lawfully be waived, including mandatory consumer-protection rights or mandatory jurisdiction rules of the User's place of habitual residence, to the extent such rights and rules apply notwithstanding the choice of law and jurisdiction in this Section. For the avoidance of doubt, this Section does not constitute an offer of the Service to any person in any jurisdiction where that would be unlawful and does not limit the restrictions in Section 3.
21.3 Binding arbitration and class-action waiver
Please read this Section carefully — it affects how disputes between you and Metropolis are resolved and, where it applies, requires individual arbitration instead of court proceedings or class actions.
(a) Informal resolution first. Before commencing any formal proceeding, you agree to try to resolve the dispute informally by contacting Metropolis through the channels in Section 21.4 and allowing at least sixty (60) days to reach a resolution.
(b) Agreement to arbitrate. Except as stated in this Section, any dispute, claim or controversy arising out of or relating to these Terms or the Service that is not resolved informally will be resolved by final and binding arbitration on an individual basis, rather than in court. The arbitration will be administered by a recognized arbitration institution under its applicable rules, before a single arbitrator, seated in the Republic of the Marshall Islands (or another mutually agreed seat), conducted in English. The arbitrator decides the dispute and any question about the scope or enforceability of this arbitration agreement.
(c) Class-action waiver. To the maximum extent permitted by applicable law, you and Metropolis agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated or representative proceeding. The arbitrator may not consolidate more than one person's claims and may not preside over any form of class or representative proceeding.
(d) Exceptions. This Section does not require arbitration of: (i) claims that qualify for a small-claims or equivalent individual forum; (ii) claims to protect intellectual property; and (iii) claims for urgent injunctive relief. Nothing in this Section limits either party's ability to bring an individual matter to the attention of a regulator.
(e) Mandatory rights and consumers. This Section applies only to the extent permitted by applicable law. Nothing in it deprives a person of mandatory rights that cannot lawfully be waived, including the mandatory consumer-protection rights and the right of a consumer to bring proceedings before the courts of their place of habitual residence where such rights and rules apply notwithstanding this Section. Where mandatory law makes this arbitration agreement or the class-action waiver unenforceable for a particular person or claim, that dispute is instead resolved by the courts identified in Section 21.2, and the remainder of this Section continues to apply to all other disputes.
21.4
Metropolis may provide notices through the Website, the Service or the official Metropolis communication channels. Notices to Metropolis concerning these Terms or legal matters, and requests to exclude a Wallet Address from public features, may be submitted through the official Metropolis communication channels linked on the Website, such as Discord and X.
22. MISCELLANEOUS
22.1
These Terms constitute the entire agreement between Metropolis and the User concerning the Service and supersede prior communications concerning the same subject matter.
22.2
If any provision is held invalid, illegal or unenforceable, it will be modified to the minimum extent necessary to make it valid and enforceable or, if that is not possible, severed, with the remaining provisions remaining in effect.
22.3
Failure by Metropolis to enforce a provision does not waive the right to enforce it later. The User may not assign rights or obligations under these Terms without Metropolis's prior written consent; Metropolis may assign its rights and obligations in connection with a restructuring, transfer of the Service, merger, acquisition or sale of assets.
22.4
Nothing in these Terms creates any agency, partnership, joint venture or employment relationship between Metropolis and any User. There are no third-party beneficiaries other than the persons expressly protected under the limitation-of-liability and indemnification provisions.
22.5
